Welcome to Landed B.V. ("Landed", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your use of our website and platform for real estate investment opportunities.

Landed B.V. is a Dutch company registered with the Dutch Authority for the Financial Markets (AFM). We operate a platform that connects investors with real estate investment opportunities. Landed B.V. was formerly operating under the name Valvest.io.

3. Eligibility

To use our services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our services under applicable laws

• Reside in a jurisdiction where our services are available

4. Account Registration

To invest through Landed, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your password and account
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

5. Investment Services

Nature of Service

Landed provides a platform for connecting investors with real estate investment opportunities. We facilitate the investment process but do not provide investment advice.

Investment Risks

All investments carry risks, including:

• Risk of losing your entire investment
• Lack of liquidity - investments may not be easily sold
• Market fluctuations affecting property values
• Delays in expected returns
• Property-specific risks (vacancy, maintenance, etc.)

Past performance is not indicative of future results. You should only invest amounts you can afford to lose.

Due Diligence

While we conduct thorough due diligence on all projects listed on our platform, we cannot guarantee the success of any investment. You are responsible for making your own investment decisions and should conduct your own research.

6. Fees and Payments

Our fee structure includes:

• Platform fees (disclosed before investment)
• Transaction fees for deposits and withdrawals
• Management fees for ongoing property management

All fees are clearly disclosed before you make an investment. We reserve the right to modify our fee structure with 30 days' notice.

7. Withdrawals and Returns

Investment returns are distributed according to the terms specific to each project. You can withdraw available funds from your wallet at any time, subject to:

• Minimum withdrawal amounts
• Identity verification requirements
• Anti-money laundering checks
• Processing times (typically 3-5 business days)

8. Prohibited Activities

You may not:

• Use our services for any illegal purpose
• Attempt to manipulate or circumvent our systems
• Provide false or misleading information
• Access another user's account without permission
• Engage in money laundering or terrorist financing
• Use automated systems or bots to access our services
• Attempt to reverse engineer or compromise our platform

9. Intellectual Property

All content on our platform, including text, graphics, logos, images, and software, is the property of Landed B.V. or its licensors and is protected by intellectual property laws.

You may not copy, modify, distribute, or create derivative works based on our content without express written permission.

10. Limitation of Liability

To the maximum extent permitted by law, Landed B.V. shall not be liable for:

• Any investment losses or underperformance
• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages resulting from third-party actions or services

Our total liability to you for all claims shall not exceed the fees you have paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Landed B.V., its directors, officers, employees, and agents from any claims, losses, damages, liabilities, and expenses arising from your use of our services or violation of these Terms.

12. Termination

We may suspend or terminate your account at any time if:

• You breach these Terms
• We suspect fraudulent or illegal activity
• Required by law or regulatory authorities
• We cease operations (with appropriate notice)

Upon termination, you may withdraw any available funds, subject to verification and legal requirements. Your obligations under these Terms that by their nature should survive termination will remain in effect.

13. Dispute Resolution

These Terms are governed by Dutch law. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Amsterdam, The Netherlands.

Before initiating legal proceedings, we encourage you to contact us to seek an amicable resolution.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through our platform. Your continued use of our services after such changes constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
